1. Purpose
This Client Agreement outlines the terms under which Digital Ocean (“we”, “our”, “us”) provides creative, web design, hosting, and marketing services to you (“the Client”). By engaging our services or approving a quote, you agree to the following terms.
2. Scope of Work
- All services, inclusions, and costs will be detailed in your approved quote or project proposal.
- Any work outside the agreed scope will be quoted separately and must be approved before commencement.
3. Payment Terms
- A deposit (as stated on your invoice) is required before work begins. This secures your booking and initial resources.
- The remaining balance is due upon completion and prior to final file delivery or website launch.
- Payments are processed via Stripe or approved methods and include GST unless otherwise stated.
- Late payments may result in service suspension or delay of project delivery.
4. Client Responsibilities
- Provide all required content, images, and business information within agreed timeframes.
- Respond promptly to design proofs, drafts, and feedback requests to avoid project delays.
- Ensure that all provided materials are accurate and do not infringe third-party rights.
5. Revisions & Approval
- Your package includes a set number of revisions, as outlined in your quote.
- Once the final design or website is approved, any further changes will incur additional fees.
- Final approval (verbal or written) signifies acceptance of all deliverables and completion of the project.
6. Ownership & Intellectual Property
- Full ownership of approved logo and graphic designs transfers to you upon receipt of full payment.
- All website files and source code remain the property of Digital Ocean unless a transfer fee is agreed and paid.
- We reserve the right to showcase completed work in our portfolio or social channels.
7. Hosting & Support
- Hosting plans are billed monthly or annually in advance and renew automatically unless cancelled.
- Hosting cancellations take effect at the end of the current billing cycle.
- We provide technical support for hosted clients; additional development or content updates may incur standard service fees.
8. Confidentiality
All client information, project details, and materials provided are treated as confidential and will not be shared with third parties except as required to deliver services.
9. Termination
- Either party may terminate this agreement in writing if the other breaches material terms and fails to rectify within 7 days of notice.
- Upon termination, all completed work remains billable and any outstanding balances must be settled immediately.
10. Liability & Warranty
Digital Ocean provides services “as is” and does not guarantee specific outcomes or performance metrics. We are not liable for indirect or consequential damages. Our total liability is limited to the amount paid for services in the preceding 12 months. Nothing in this agreement removes your rights under the Australian Consumer Law (ACL).
11. Agreement & Acceptance
By approving your quote or paying a deposit, you acknowledge that you have read, understood, and agree to this Client Agreement together with our Terms of Service and Privacy Policy.
